Welcome to PIE (Partner Intelligence Engine), a product of AI Cloud Partners LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a legally binding agreement governing your access to and use of our platform, services, and related applications.
By creating an account, accessing, or using PIE, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. If you are accepting these Terms on behalf of an organization, you represent that you have binding authority to do so.
PIE provides Microsoft partner intelligence services designed to help Microsoft partners identify, capture, and maximize available incentive programs. Services include:
PIE integrates with third-party services including Microsoft Partner Center, Microsoft Entra ID, Azure Resource Manager, and Stripe (for payment processing). Your use of these integrations is subject to the applicable third-party terms of service in addition to these Terms.
To use PIE, you must authenticate via Microsoft Entra ID and provide accurate, complete information about your organization. You are responsible for:
PIE is offered on a monthly subscription basis across four tiers. Each tier includes a one-time onboarding setup fee applied to the first invoice.

Pricing is subject to change with 30 days’ prior written notice. Current pricing is always available at www.aicloudpartners.com.
Subscriptions are billed monthly in advance via Stripe. The first invoice includes both the one-time setup fee and the first month’s subscription fee. All fees are in U.S. dollars.
Each tier includes monthly limits for SOW analyses, user accounts, and administrator accounts. Usage is tracked on a calendar-month basis and resets on the first of each month. If you exceed your tier’s SOW analysis limit, additional analyses will be blocked until the next billing period or until you upgrade to a higher tier.
All fees are non-refundable except as required by applicable law. Setup fees are non-refundable under all circumstances. Monthly subscription fees are not prorated for partial months.
You may cancel your subscription at any time through the platform or by contacting us. Access continues through the end of your current billing period. No refunds are issued for unused portions of a billing period.
As part of the Partner Center integration and ongoing platform operation, PIE performs the following services on your behalf and for platform analytics purposes:
These platform services are integral to PIE’s operation and value delivery. The data collected through these integrations is used in accordance with our Privacy Policy and does not reduce, diminish, or interfere with your organization’s own Microsoft incentive eligibility, partner designations, or program benefits.
Consent. By connecting your Partner Center account, you consent to PIE accessing the Microsoft APIs and Azure management services described in the consent prompt displayed during the connection process. You may revoke this access at any time by disconnecting your Partner Center account within PIE settings or by removing the PIE Platform application from your Microsoft Entra ID tenant.
You agree NOT to:
You retain full ownership of all content and data you upload to PIE, including Statements of Work, business documents, workforce information, and organizational data.
You grant AI Cloud Partners LLC a limited, non-exclusive, worldwide license to use, process, store, and analyze your content solely for the purposes of: (a) providing and operating PIE services; (b) improving platform functionality and accuracy; and (c) generating aggregated, anonymized analytics that do not identify you or your organization.
We treat your uploaded documents and business data as confidential information. We will not share your data with third parties except: (a) as necessary to provide PIE services (e.g., API calls to Microsoft Partner Center with your authorization); (b) as described in our Privacy Policy; (c) as required by law; or (d) with your explicit consent.
Upon termination or cancellation of your account, you will have thirty (30) days to export your data from PIE. After the 30-day export period, we reserve the right to delete all Customer data from our systems. We are not obligated to retain your data beyond this period.
PIE utilizes artificial intelligence and machine learning technologies to provide certain services, including but not limited to SOW analysis, incentive opportunity identification, certification question preparation, and document enhancement. You acknowledge and agree that:
PIE’s CERTIFY module provides supplemental learning resources designed to accelerate Microsoft certification preparation. You acknowledge and agree that:
PIE, including its design, features, content, analysis methodologies, export templates, scoring algorithms, and underlying technology, is owned by AI Cloud Partners LLC and protected by applicable intellectual property laws. “PIE,” “Partner Intelligence Engine,” and the PIE hexagon logo are trademarks of AI Cloud Partners LLC.
You may not copy, modify, distribute, sell, or lease any part of PIE or its content, nor may you reverse engineer or attempt to extract the source code of the platform, except as permitted by law.
We do not warrant that:
PIE’s analysis is based on publicly available Microsoft program documentation and the data you provide. Microsoft program rules, eligibility criteria, and incentive structures are subject to change by Microsoft at any time without notice to us.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI CLOUD PARTNERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising from or related to your use of PIE, including but not limited to lost profits, lost revenue, lost business opportunities, loss of data, or business interruption.
Our total aggregate liability for all claims arising out of or related to these Terms or your use of PIE shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
These limitations apply even if we have been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, strict liability, or otherwise).
You agree to indemnify, defend, and hold harmless AI Cloud Partners LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of PIE; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you upload to PIE.
We may suspend or terminate your access to PIE immediately upon notice if you: (a) breach any material provision of these Terms; (b) fail to pay fees when due; (c) engage in conduct that we reasonably believe is harmful to other customers, the platform, or our reputation; or (d) become subject to bankruptcy or insolvency proceedings.
Upon termination, your right to access PIE ceases immediately, subject to the 30-day data export period described in Section 7.4. Sections 7, 10, 11, 12, 13, and 15 shall survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to conflict of law principles.
Any dispute arising out of or related to these Terms or your use of PIE shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Maricopa County, Arizona. Each party shall bear its own costs.
You may opt out of this arbitration provision by sending written notice to legal@aicloudpartners.com within thirty (30) days of accepting these Terms.
We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account and/or through a prominent notice within the platform at least thirty (30) days before the changes take effect.
Your continued use of PIE after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree with the updated Terms, you must discontinue use of PIE before the effective date.
